By accessing or using the Spells application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
1. Acceptance of Terms
By downloading, installing, accessing, or using Spells, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and WIP LLC.
2. Description of Service
Spells is a collaborative platform that enables users to create, customize, and share interactive experiences within group chats and digital spaces. The Service allows users to build custom tools, workflows, and applications for their communities.
The Service is provided "as is" and is continually evolving to enhance user experience. We reserve the right to modify, update, or discontinue any aspect of the Service at any time.
3. User Accounts
Registration
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
Account Termination
You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate these Terms or engage in harmful activities.
4. User Conduct
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Harass, threaten, intimidate, or harm other users or third parties
- Post, upload, or transmit any content that is illegal, offensive, defamatory, or infringes on intellectual property rights
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Use the Service for any commercial purpose without our express written consent
- Interfere with or disrupt the Service or servers connected to the Service
- Create multiple accounts to evade restrictions or bans
5. User-Generated Content
Content Ownership
You retain ownership of any content you create, upload, or share through the Service ("User Content"). However, by submitting User Content, you grant WIP LLC a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Service.
Content Moderation
We reserve the right to review, moderate, or remove User Content at our discretion, especially if it violates these Terms or is reported by other users.
Content Responsibility
You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you have all necessary rights to grant the licenses described in these Terms.
6. Intellectual Property
All rights, title, and interest in and to the Service, including all associated intellectual property rights, are and will remain the exclusive property of WIP LLC and its licensors.
You may not use our trademarks, logos, or other proprietary information without our prior written consent. The Spells name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WIP LLC.
7. Privacy
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection, use, and disclosure of your personal information.
8. Disclaimers and Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Service is at your own risk.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WIP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to indemnify, defend, and hold harmless WIP LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately.
Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to the jurisdiction of such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date at the top of these Terms.
Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WIP LLC regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
