By accessing or using the Spells application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
By downloading, installing, accessing, or using Spells, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and WIP LLC, 1887 Whitney Mesa Drive, Henderson, NV 89014, United States.
Spells is a messaging app with a built-in AI assistant. The Service enables you to:
The Service is continually evolving. We reserve the right to modify, update, or discontinue any aspect of the Service at any time.
You must be at least 13 years old to use the Service. By using Spells, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have agreed to these Terms on your behalf.
Accounts are created using your phone number, which is verified via SMS. You agree to provide accurate and complete information during registration and to keep it up to date.
Your account is tied to your phone number. You are responsible for maintaining access to your phone and for all activity that occurs under your account. Notify us immediately if you believe your account has been compromised.
You may delete your account at any time from Settings → Delete Account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in harmful activities.

The AI assistant in Spells is powered by third-party AI providers (including Google Gemini and Meta Llama via OpenRouter, and OpenAI Codex). AI responses are generated automatically and may not always be accurate, complete, or appropriate. You are responsible for how you use AI-generated content. We are not liable for any reliance you place on AI responses.
When you use AI features, the following personal data is transmitted to the third-party AI providers listed below:
Your consent is required before your data is shared with AI providers. The first time you use a slash command or the Artifacts feature, the app will ask for your explicit permission. You may decline, and no data will be sent to AI providers. You can withdraw consent at any time by contacting us at info@wip.llc.

Artifacts are interactive mini-applications that can be created by the AI or built in collaboration with it inside a chat. Artifacts may request access to device features such as your camera, microphone, or location — you control these permissions individually per Artifact. We are not responsible for the behavior of Artifact content once it is generated and run.
The AI may perform web searches on your behalf using third-party search services. Results are provided for informational purposes only.
There is zero tolerance for objectionable content or abusive behavior on Spells. By using the Service you agree not to post, share, or transmit content that is illegal, harassing, threatening, hateful, defamatory, sexually explicit, violent, or otherwise objectionable, and not to harass, bully, or abuse other users. This is a binding condition of your use of the Service.
The Service provides tools to report objectionable content or users (by long-pressing a message or from a user's profile) and to block abusive users. Blocking a user immediately removes their content from your view and notifies us of the concern. We review all reports and, for content or users found to violate these Terms, we will remove the offending content and eject the responsible user within 24 hours. Users who post objectionable content or abuse others may be permanently banned. To report content or a user outside the app, contact us at info@wip.llc.
You retain ownership of the content you create, upload, or share through the Service ("User Content"). By submitting User Content, you grant WIP LLC a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely in connection with providing and improving the Service.
We reserve the right to review, moderate, or remove User Content at our discretion, particularly if it violates these Terms or is reported by other users.
You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you have all necessary rights to the content you share and to grant us the license described above.
All rights, title, and interest in and to the Service — including its design, features, and associated intellectual property — are and will remain the exclusive property of WIP LLC and its licensors.
You may not use our trademarks, logos, or other proprietary materials without our prior written consent. The Spells name, logo, and all related branding are trademarks of WIP LLC.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your information — including how your messages are processed by AI providers.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or usefulness of any AI-generated content. Your use of the Service is at your own risk.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WIP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR USE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS (US $100).
You agree to indemnify, defend, and hold harmless WIP LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately.
Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to the personal jurisdiction of such courts.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, discontinue your use of the Service.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WIP LLC regarding the Service and supersede all prior understandings, agreements, representations, and warranties.
